What will I learn on this module?
This module covers the issues relevant to the successful sale and purchase of businesses in the modern world and will be of interest to any students entering commercial/corporate practice or involved in the financial services industry. The module will provide you with a sound overview of the practical, legal and taxation aspects of the sale and purchase of a business of company. At the end of the module you will be able to understand the structure of a sale and purchase and the implications for all parties on the choice of structure. You will also have developed skills of analysis and be able to apply the knowledge learned in a commercial context, skills which will be valued by employers.
How will I learn on this module?
In this module you will receive a mixture of lectures and workshops. The lectures will cover a range of key theoretical and practical concepts in financial regulation, law and international finance transactions. The workshops will provide you with an opportunity to apply concepts covered in the lectures and gain further practical insights. Your independent learning will focus on pre-reading, activity-based learning through specially designed workshop exercises and the use of the e-Learning Portal (Blackboard Ultra). Independent learning will centre on you identifying further reading and research to provide deeper/broader knowledge and understanding of sales and acquisitions. Regular formative feedback will be provided by the teaching team and module tutor during timetabled sessions and there will be opportunities to practice both multiple-choice questions (MCQs) and longer form exam questions in the workshops to ensure you are fully prepared for the exams.
How will I be supported academically on this module?
Support will include feedback from tutors during small group sessions, through formative and summative assessment. You will be provided with guidance on answering MCQs and longer form exam questions. The multiple-choice questions are undertaken in a small group session and feedback given during this session. Detailed answers to the self-test questions will be available on the e-learning portal and feedback on the mock examination will be given via the e-learning portal and in a large group session. You will be given guidance on the assessment criteria and the learning outcomes for the module. This module is designed and will be managed by your designated Module Tutor. All relevant materials and instructions will be accessible on-line through Blackboard Ultra, and the module site is maintained by your Module Tutor. You may communicate with your Module Tutor and your Small Group Session Tutor by e-mail, telephone or face to face by appointment outside of your sessions as well as during your sessions if you encounter any difficulties relating to any aspect of the module. The University is well-placed to support you in learning and research with an excellent library and teaching facilities, access to on-line legal databases and resources and appropriate software.
What will I be expected to read on this module?
All modules at Northumbria include a range of reading materials that students are expected to engage with. Online reading lists (provided after enrolment) give you access to your reading material for your modules. The Library works in partnership with your module tutors to ensure you have access to the material that you need.
What will I be expected to achieve?
Knowledge & Understanding:
1. You will be able to demonstrate an in-depth knowledge and understanding of Sales & Acquisitions, informed by current practice, advanced scholarship and research, including a critical awareness and evaluation of current issues and developments in the subject.
Intellectual / Professional skills & abilities:
2. You will be able to analyse and communicate complex legal and policy issues relating to Sales & Acquisitions.
3. You will be able to critically evaluate source material, suggest alternative approaches to Sales and Acquisitions, the appropriate application in practice and reflect on the application of your knowledge and that of others within practical contexts.
Personal Values Attributes (Global / Cultural awareness, Ethics, Curiosity) (PVA):
4. You will take responsibility for your own independent learning in the field of Sales & Acquisitions, working independently to further enhance existing skills and develop new skills to a high level.
How will I be assessed?
Formative assessment will be provided by a combination of self-test questions and multiple-choice questions which students will complete through the module e-learning portal site and in small group sessions. Students will also have the opportunity to sit a mock open book examination paper.
Summative assessment will be provided by an examination. The examination will be a 3 hour open book written exam with practical questions on the substantive law of sales and acquisitions based on advance documents. The use of advance documents allows the subject team greater opportunity to test knowledge and application in the examination and allows greater use of realistic legal scenarios.
Assessment criteria will be provided to enable you to understand what is expected of you and how you will be judged on your performance.

Module abstract
This module provide will provide you with a detailed understanding of the practical, legal and taxation aspects of a sale or purchase of a company or a business. You will be introduced to the legal, commercial and tax implications of a private acquisition of a company and there will be an exploration into the tax and accounting implications of corporate group structures. As well as developing your skills of legal research, and honing your skills of critical analysis, the module will give you an appreciation of the financial and commercial constraints on commercial clients’ and how they influence the role of the legal practitioner. Such skills and knowledge are highly prized in the commercial business environment and will significantly enhance your employment prospects.
